So there are very strict guidelines as to when this is allowed - and in the case of your text, the company is certifying that it will not acquire any goods *in this particular way* from shareholders or third parties.

В двух слова, получается, что "reprise de bien" - это приобретение в собственность имущества/активов не в обмен на акции, а, скажем, деньги или, может, услуги.

С грамотным переводом затрудняюсь. Ясно, что имеется в виду приобретение в собственность, но может есть какой-то особый термин...
